한국피자헛 본사가 가맹점주들에게 원재료를 더 높은 가격에 공급하면서 챙긴 차액가맹금을 부당이득으로 봐야 한다고 대법원이 15일 판결했다. 이에 따라 피자헛은 지난 7년여간 차액가맹금으로 받은 약 215억원을 가맹점주들에게 돌려줘야 한다. 가맹점 측과 합의 없이 프랜차이즈 본사가 차액가맹금으로 수익을 챙기는 프랜차이즈 업계의 관행에 대법원이 제동을 걸면서 피자헛 외 업체들도 큰 영향을 받게 됐다.
대법원 3부(주심 이흥구 대법관)는 이날 오전 한국피자헛 가맹점주 94명이 가맹본부를 상대로 낸 부당이득반환청구소송 상고심에서 “한국피자헛이 2016∼2022년 가맹점주에게 받은 차액가맹금 215억원을 반환하라”고 판결한 원심을 확정했다.
가맹점주들은 본사가 총수입의 6%에 해당하는 고정수수료(로열티)와 별개로 계약서에 없는 차액가맹금까지 걷었다며 2020년 12월 소송을 제기했다. 차액가맹금은 프랜차이즈 본사가 가맹점에 원재료·부재료 등을 시장가보다 더 높은 금액에 공급하며 발생하는 차액을 뜻한다. 국내 프랜차이즈 업계에선 본사가 가맹점으로부터 차액가맹금을 받아 수익을 내는 경우가 흔하다.
대법원은 차액가맹금을 “가맹점주가 본부(본사)에서 공급받은 상품이나 재료에 대해 지급하는 돈 중 적정한 도매가격을 넘는 대가”라고 규정하고, 이는 가맹계약과 무관하게 유통 과정에서 발생하는 이윤과는 다르다고 봤다. 그러면서 “가맹본부가 차액가맹금을 받는 경우 가맹본부와 가맹점주 사이에 구체적인 의사 합치가 필요하다”고 밝혔다.
피자헛 본사 측은 소송 과정에서 차액가맹금 관련 내용을 계약서에 명시할 의무가 없고, 점주들과 묵시적인 합의도 있었다는 취지로 주장했는데 대법원은 받아들이지 않았다. 대법원은 ‘가맹점 측과 차액가맹금 관련 합의가 있었다’고 인정되려면 가맹점의 사회ㆍ경제적 지위, 가맹점주가 합의 의사를 표현할 수 있을 정도로 충분한 정보를 받았는지 여부, 가맹사업자가 입는 불이익의 정도 등을 종합적으로 고려해 신중하게 판단해야 한다고 지적했다.
앞서 1심과 2심 법원 모두 가맹점주들의 손을 들어줬다. 1심 재판부는 피자헛 가맹계약서에 ‘차액가맹금 형태로 가맹금을 지불한다’는 명시적 조항이 없었던 점 등을 들며 본사와 가맹점 간에 합의가 없었다고 봤다. 이어 피자헛 정보공개서에 따라 차액가맹금 비율이 특정된 2019∼2020년분 총 75억원을 돌려주라고 판결했다.
2심 법원 판단도 같았다. 다만 2심 재판부는 1심 재판부가 인정한 금액의 3배가량인 215억원을 반환하라고 판결했다. 2심은 정보가 공개되지 않은 2016∼2018년 차액가맹금을 2019년 기준으로 추정해 반환 금액을 산정했다.
대법원은 이에 대해 “피자헛 본사가 문서제출명령을 불이행한 점, 2016∼2021년 거래 구조·형태가 달라지지 않은 것으로 보인 점 등을 고려한 결정”이라며 “원심의 부당이득 산정이 불합리하다거나 공평과 정의의 이념에 반한다고 볼 수 없다”고 보고 이를 확정했다.
피자헛 본사와 가맹점 사이 소송이 진행되는 사이 bhc치킨, 교촌치킨, 배스킨라빈스, 투썸플레이스 등 10개 이상 프랜차이즈 가맹점주들도 본사를 상대로 소송에 나섰다. 가맹점주들의 손을 들어준 판결이 대법원에서 확정되면서 프랜차이즈 업계의 거래 관행과 유사 소송에도 영향을 줄 것으로 보인다.<p><span><a
