용인소년범죄변호사 한국피자헛이 가맹점주들에게 받은 ‘차액가맹금’ 215억원을 반환해야 한다는 대법원 확정판결이 나오자 국내 프랜차이즈업계는 향후 이어질 파장 등에 촉각을 곤두세우고 있다. 유사 소송이 잇따르고 있는 데다 차액가맹금 위주인 가맹 사업구조 재편과 투명한 수익구조 공개 등에 대한 사회적 요구도 높아질 것으로 보인다.
차액가맹금은 프랜차이즈 본사가 가맹점에 원·부자재를 공급하면서 받는 유통 마진으로, 대법원은 본사와 가맹점주 간 수수 합의가 성립하지 않았다고 본 원심 판단을 15일 그대로 받아들였다. 차액가맹금 관련 내용을 계약서에 명시하지 않았다는 점을 들어 부당이득으로 본 것이다.
프랜차이즈 가맹점을 운영하는 점주들은 이번 판결을 계기로 장사할수록 밑지는 구조가 달라지기를 기대하고 있다. 이날 온라인 자영업자 커뮤니티에는 “대법원이 올바른 판단을 했다” “무언가 변화가 시작될 것 같다”는 등의 글들이 올라왔다. 한 누리꾼은 “가맹점 모집할 때는 로열티 면제라고 해놓고 오픈하면 본사 물건 팔아먹기 급급한 행태에 제동을 건 것”이라고 환영했다.
그러나 한국프랜차이즈산업협회는 대법원 판결 직후 입장문을 내고 “업계의 오랜 관행이자 유통업계의 일반적인 상거래 관행을 뿌리째 뒤흔드는 결정”이라며 유감을 표했다. 협회는 “상인이 유통 과정에서 제품·서비스 제공 대가를 수취하는 것은 당연한 것”이라고 주장했다. 차액가맹금은 본사와 점주 간 묵시적으로 동의해온 관행이라는 얘기다.
차액가맹금을 돌려달라는 추가 소송이 이어질 것으로 보인다. 교촌·bhc·BBQ 등 주요 치킨 브랜드를 비롯해 맘스터치·버거킹·배스킨라빈스·투썸플레이스·명륜진사갈비 등 이미 18개 프랜차이즈 가맹점주들이 소송을 제기한 상태다. 협회 관계자는 “과거 부당이득 반환은 물론 폐점한 점주들도 소송에 나설 가능성이 있다”고 말했다.
일각에선 해외 프랜차이즈처럼 로열티를 정기적으로 받는 방식으로 전환해야 한다고 주장한다. 2023년 기준 외식업종 가맹점의 차액가맹금은 평균 매출 대비 약 4.4%로, 치킨업종이 8.2%로 가장 높았다. 차액가맹금은 필수품목(본사에서 꼭 납품받아야 하는 물품) 가격에서 발생하는데, 이 금액이 과도하다는 지적도 있다.
다만 협회는 “국내는 가맹점이 100개 미만인 영세 가맹본부가 96%에 달해 로열티 계약이 어렵고 매출 누락 등 회피 가능성이 있어 로열티 대신 차액가맹금이 상거래 관행으로 자리잡은 것”이라며 이를 반대한다.
프랜차이즈업계 한 관계자는 “피자헛은 로열티(상표권 사용 대가)로 총수입의 6%를 받으면서 차액가맹금까지 받았지만, 국내 다른 프랜차이즈들은 거의 로열티를 받지 않거나 적게 받는다”며 “2024년 가맹사업법이 개정되면서 현재는 계약서에 차액가맹금 내용을 명시하고 있으며 필수품목도 차츰 줄여가고 있다”고 말했다.
이종우 아주대 경영학과 겸임교수는 “이번 판결은 수익구조를 숨기지 말고 계약서에 명확하게 밝히라는 의미인 만큼 프랜차이즈에 대한 모니터링 등이 강화돼야 한다”고 말했다.
미국 정부가 ‘달 원자로’를 개발하기 위해 본격 시동을 걸었다. 달 유인 기지에 안정적으로 전력을 공급하려는 것이다. 우주 경쟁에서 미국의 맞상대인 중국과 러시아도 같은 목적의 원자로를 개발 중이어서 향후 달 패권을 둘러싼 경쟁은 더욱 치열해질 것으로 보인다.
14일(현지시간) 미국 과학계에 따르면 미 항공우주국(NASA)과 에너지부(DOE)는 달에서 가동할 원자로를 2030년까지 개발하는 내용의 양해각서(MOU)를 체결했다. NASA와 DOE는 연료 재보급 없이 수년간 운전이 가능한 핵분열 기반의 전력 시스템을 만들 예정이라고 설명했다. 원자로는 우라늄 등 연료를 한번 넣으면 장기간 사용할 수 있고, 공기 없이도 돌아간다.
NASA는 2020년대 들어 달에 원자로를 설치하기 위한 기술적인 검토를 해왔다. 지난달 도널드 트럼프 미국 대통령은 “2030년까지 달 표면에 상설 전초기지의 초기 요소를 구축하라”는 내용의 행정명령에 서명했다. 이번 MOU는 이 같은 달 개척 의지를 현실로 만들려는 미국 정부기관의 공식 계획인 셈이다.
NASA와 DOE가 여러 에너지원 가운데 하필 원자력을 선택한 데에는 이유가 있다. 달에서는 낮과 밤이 14일마다 바뀌기 때문이다. 한 달의 절반이 햇빛 없이 깜깜하다는 뜻이다.
이 때문에 태양광 발전에 의존해서는 미국이 달에서 2030년대 초반부터 운영하려는 유인 기지를 유지하기 어렵다. 각종 탐사 장비와 생명유지 장치를 작동하려면 365일 안정적인 전력 공급원이 있어야 하기 때문이다. NASA와 DOE는 인류가 실용화한 기술 가운데 장기간 안정적으로 전력을 만들 수 있는 가장 유력한 수단이 원자로라는 결론을 내린 것이다.
미국 과학계에서는 NASA와 DOE 발표가 어떻게 진척될지 좀 더 지켜보자는 시각도 나온다. 미국원자력학회(ANS)는 소식지를 통해 “2030년에 원자로를 달에서 실제 가동하겠다는 것인지, 아니면 그때까지 (지구에서) 제작만 완료하겠다는 것인지 명확하지 않다”고 지적했다.
다만 미국이 달 원자로 개발에 적극 나서기로 하면서 향후 중국과 러시아 움직임이 빨라질 가능성은 커 보인다. 중·러는 2033~2035년 사이를 목표로 달에 원자로를 설치하는 계획을 추진 중이다. 원자로가 달 기지 운영 시점을 좌우할 결정적인 요소인 만큼 미국과 경쟁 중인 중·러의 목표 시점이 당겨질 수도 있다.
게다가 달에 원자로를 먼저 설치한 국가가 “원자로는 예민한 장비이니 다른 국가 우주비행사가 접근하려면 우리의 허가를 받아야 한다”는 식의 방침을 선포할 가능성이 있는 것도 변수다. 학계에서는 원자로를 매개로 달에서 특정 국가 영향력이 배타적으로 미치는 통제선이 그어질 공산이 있다는 분석이 나온다.<p><span><a
